1. Acceptance of Terms

By accessing or using Effectly ("the Service"), operated by Upswing Solutions, you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service.

2. Description of Service

Effectly is a WhatsApp-first task management platform designed for small business owners in India and the UAE. The Service allows managers to assign tasks via voice or app, with employees receiving and responding via WhatsApp. Effectly may include:

• Voice-activated task assignment via AI processing
• WhatsApp message delivery using the Meta Business API
• A manager-facing mobile app (iOS and Android)
• An employee-facing web dashboard
• Task tracking, reminders, and reporting features

3. User Accounts and Eligibility

You must be at least 18 years old and a registered business owner or authorised representative to create an account. You are responsible for maintaining the confidentiality of your account credentials and all activity that occurs under your account.

4. Subscription and Payments

Effectly is offered on a subscription basis. Pricing plans are as follows:

• Free Plan: Up to 3 team members, basic features
• Starter Plan: ₹999/month, up to 10 team members
• Growth Plan: ₹1,999/month, up to 20 team members
• Enterprise Plan: ₹4,999/month, unlimited team members

All payments are processed securely. Subscription fees are billed monthly in advance. Prices are inclusive of applicable taxes unless stated otherwise.

5. WhatsApp Usage and Compliance

Effectly uses the Meta WhatsApp Business Cloud API to deliver messages. By using the Service, you agree to comply with WhatsApp's Business Policy and Commerce Policy. You must not use Effectly to send spam, unsolicited messages, or content that violates Meta's policies.

6. Acceptable Use

You agree not to use Effectly to:

• Violate any applicable laws or regulations
• Harass, abuse, or harm another person
• Transmit unsolicited bulk messages
• Reverse engineer, copy, or resell the Service
• Attempt to gain unauthorised access to any part of the Service

7. Data and Privacy

We collect and process data as described in our Privacy Policy. Employee phone numbers and task data are stored securely on our servers hosted via Supabase. We do not sell your data to third parties. Voice recordings used for task extraction are processed by OpenAI Whisper and are not stored beyond the session.

8. Limitation of Liability

Upswing Solutions shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the Service. Our total liability shall not exceed the amount paid by you in the three months preceding the claim.

9. Termination

Either party may terminate the subscription at any time. Upon termination, your access to the Service will cease at the end of the current billing period. We reserve the right to suspend or terminate accounts that violate these terms without prior notice.

10. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify users of significant changes via email or in-app notification. Continued use of the Service after changes constitutes acceptance of the revised terms.

11. Governing Law

These Terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra.
